1. Use of site
You may use this site to browse our offerings, book consultations, and engage us for services. You agree not to: (a) attempt to gain unauthorized access to systems, (b) probe, scan, or test vulnerabilities without permission, (c) use automated means (bots, scrapers) at scale, (d) interfere with the site's operation, or (e) violate applicable law.
2. Engagement of services
Submitting our contact form, booking a discovery call, or otherwise reaching out is not itself a contractual engagement. A binding engagement requires a signed Master Services Agreement (MSA) and a Statement of Work (SOW), or a clearly accepted fixed-fee proposal in writing.
3. Fees and payment
Fees are stated in the SOW or proposal. Strategic Labs invoices via Stripe. Payment terms default to net-15. Late payments accrue interest at 1.5% per month or the legal maximum, whichever is lower.
4. Intellectual property
- You own the deliverables specifically produced for you under the SOW upon full payment.
- We retain ownership of pre-existing IP, frameworks, internal libraries, and Coheria platform components used in delivery.
- You grant us the right to reference the engagement and produce a case study after completion (with your right to redact or anonymize as specified in the SOW).
5. AI use
We use AI in research, drafting, and delivery as described in our AI Disclosure. By engaging us, you acknowledge AI-assisted delivery and agree that all final deliverables receive human operator review before handoff.
6. Confidentiality
Each party will protect the other's confidential information with reasonable care. Specific confidentiality obligations are set out in our MSA. Either party may disclose if required by law, with prompt notice to the other party where lawful.
7. Warranties and limitations
Strategic Labs services are provided as-is except as expressly warranted in a signed MSA. To the maximum extent permitted by law, we disclaim all implied warranties (merchantability, fitness for a particular purpose, non-infringement). Our aggregate liability for any claim arising out of the engagement is limited to fees paid by you in the 12 months preceding the claim.
8. Indemnification
Each party indemnifies the other for third-party claims arising from its breach of these Terms or applicable law. Specific indemnification provisions are in the MSA.
9. Acceptable use
Our Acceptable Use Policy applies to all use of our services and platform.
10. Changes
We may update these Terms. Material changes are effective 30 days after posting. Continued use after the effective date constitutes acceptance.
11. Governing law and disputes
These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Denver, Colorado.
